These Terms of Service govern your access to and use of Lezzat.co.uk and any services provided by Lezzat UK Limited (“Lezzat”, “we”, “us”, “our”).

By accessing our website or engaging our services, you confirm that you accept these Terms and agree to comply with them.

If you do not agree, you must not use our website or services.

1. About Lezzat

Lezzat UK Limited is a digital agency specializing in Amazon marketplace growth and account management services.

We provide strategic, operational, and creative services designed to help brands grow their presence and sales on Amazon marketplaces. Our services are delivered under separate proposals, agreements, or written confirmations with each client.

Nothing on this website constitutes a binding offer. All services are subject to a signed agreement or written confirmation.

2. Scope of Services

Lezzat may provide services including, but not limited to:

• Full Amazon account management
• Product listing optimization and SEO
• Keyword research
• PPC campaign creation, restructuring, and optimization
• A+ content, infographics, brand story creation
• Review management support using Amazon compliant practices
• Inventory forecasting guidance
• Account health monitoring and support with seller cases
• Business consulting related to Amazon marketplaces

The exact scope, deliverables, fees, and timelines are defined in the individual client agreement or proposal.

Any work outside the agreed scope is considered additional work and may be quoted separately.

We reserve the right to refuse services that violate Amazon policies or applicable laws.

3. Client Responsibilities

To enable us to provide services effectively, clients agree to:

• Provide accurate, complete, and up-to-date product and business information
• Grant necessary access to Amazon Seller Central or Vendor Central accounts
• Approve strategies, creatives, and campaigns in a timely manner
• Maintain sufficient inventory levels where required
• Comply with Amazon policies and all applicable laws

The client confirms that:

• They have the legal right to sell the products being managed
• Product content, images, and trademarks do not infringe third-party rights

Lezzat is not responsible for:

• Account suspensions caused by past activity
• Policy violations outside our control
• Performance limitations due to stock shortages or pricing decisions made by the client

4. Fees, Payments and Billing

All fees are outlined in the signed proposal or service agreement.

Invoices are issued in GBP unless otherwise agreed.

Payment terms are specified in each invoice. Unless otherwise agreed in writing, invoices are payable within seven calendar days from the invoice date.

Payments must be made in full without deduction or set-off unless required by law.

4.1 Late Payment

If payment is not received by the due date:

• Interest may accrue at up to 2 percent per month, subject to legal limits
• Fixed recovery fees may be applied in accordance with UK regulations
• Additional reasonable collection costs may be recovered

Failure to send reminders does not remove the client’s obligation to pay.

4.2 Suspension and Reactivation

If payment remains outstanding fourteen days after the due date, we may suspend services.

Services will resume only once:

• All outstanding balances are paid
• Any applicable reactivation fees are settled

A reactivation fee of up to 15 percent of the monthly service fee may apply.

Repeated late payment may result in:

• Mandatory advance payment
• Direct debit requirement
• Immediate termination of services

5. Term and Termination

The term of services is defined in the client agreement.

If a minimum term applies, early termination may require payment of remaining contracted fees.

Either party may terminate the agreement with written notice in accordance with the agreed terms.

Lezzat may terminate immediately if:

• There is material breach of agreement
• Fraudulent, illegal, or unethical conduct is detected
• Payments remain unpaid beyond agreed limits

Termination does not affect outstanding payment obligations.

6. Advertising and Performance

Where Lezzat manages PPC campaigns:

• The client retains full control over advertising spend
• Strategy adjustments require client approval where necessary
• We apply industry best practices and data-driven optimization

However, we do not guarantee:

• Specific sales results
• Ranking positions
• ROAS targets
• Revenue increases

Amazon is a third-party platform outside our control. Algorithm changes, competition, pricing strategy, stock levels, and market conditions affect results.

7. Intellectual Property

The client retains ownership of:

• Their brand
• Trademarks
• Product images
• Product data

Upon full payment, the client owns final deliverables created specifically for them.

Lezzat retains ownership of:

• Internal systems
• Methodologies
• Templates
• Tools
• Strategic frameworks

We reserve the right to reference completed work for portfolio and marketing purposes unless agreed otherwise in writing.

8. Confidentiality

Both parties agree to keep confidential all non-public information shared during the course of services.

Confidential information includes:

• Sales data
• Financial information
• Account access credentials
• Strategic documents

This obligation survives termination of services.

Information already publicly available or required by law to be disclosed is excluded.

9. Indemnification

The client agrees to indemnify and hold Lezzat harmless against claims arising from:

• Product defects
• Intellectual property infringement
• Misleading product claims
• Breach of Amazon policies
• Violation of applicable laws

This includes reasonable legal costs.

10. Limitation of Liability

To the maximum extent permitted by law:

Lezzat shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, goodwill, or business opportunities.

Our total liability shall not exceed the total fees paid to Lezzat in the twelve months preceding the claim.

Nothing in these Terms excludes liability for death, personal injury, fraud, or any liability that cannot legally be excluded.

11. Suspension for Breach

We may suspend or terminate services if:

• The client breaches these Terms
• Illegal activity is suspected
• Amazon account misuse is identified

Suspension does not remove payment obligations.

12. Non-Solicitation of Staff

During the service term and for two years after termination, the client may not directly or indirectly hire or solicit Lezzat employees or contractors without prior written consent.

13. Force Majeure

We are not liable for delays or failure to perform due to events beyond our reasonable control, including:

• Natural disasters
• Internet outages
• Government restrictions
• Platform outages
• War or public emergencies

Deadlines may be extended accordingly.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Amendments

We may update these Terms at any time. Updates will be posted on this page with a revised date.

Continued use of our website or services constitutes acceptance of the updated Terms.
